1. Purpose
These Marketplace Seller Terms govern creators, sellers, partners, and businesses that offer products, services, listings, guides, itineraries, content, or travel commerce items through the Remsee Marketplace.
2. Status
- Marketplace features may be planned, beta, limited, or not yet publicly launched.
- These terms are a launch-readiness draft and require legal, tax, payments, consumer, and partner review before production marketplace operations.
3. Seller Eligibility
- Sellers must apply or be approved where Remsee requires approval.
- Sellers must provide accurate identity, tax, payout, business, licensing, and compliance information.
- Remsee may approve, reject, suspend, or terminate sellers at its discretion subject to Applicable Law.
4. Seller Responsibilities
Sellers are responsible for:
- Listing accuracy.
- Legal rights to sell offered items.
- Delivery and fulfillment.
- Customer support.
- Refunds, cancellations, warranties, and guarantees.
- Taxes, invoices, registrations, permits, insurance, and licenses.
- Compliance with travel, consumer, advertising, privacy, intellectual property, sanctions, anti-bribery, and marketplace laws.
5. Listing Rules
Listings must clearly disclose:
- Product or service description.
- Price, currency, taxes, fees, and commissions where applicable.
- Delivery method and timing.
- Refund and cancellation terms.
- Eligibility requirements and restrictions.
- Safety, accessibility, age, health, travel, or legal requirements.
- Whether content is AI-assisted, sponsored, affiliate-linked, or promotional where required.
6. Prohibited Marketplace Items
Sellers may not offer:
- Illegal goods or services.
- Fraudulent, counterfeit, stolen, infringing, or deceptive items.
- Regulated travel services without required authorization.
- Financial, insurance, visa, immigration, medical, or legal services without required licensing and approvals.
- Adult sexual services, exploitation, weapons, drugs, dangerous items, or prohibited content.
- Items violating sanctions, export controls, anti-money laundering, consumer protection, or platform rules.
7. Fees, Commission, and Payouts
- Remsee may charge commissions, listing fees, payment fees, subscription fees, boost fees, or service fees.
- A creator revenue share, such as 70% of sale price, may apply only if confirmed in product terms or seller agreement.
- Payouts may be subject to thresholds, reserves, chargebacks, refunds, disputes, tax withholding, compliance checks, and payment provider rules.
- Payout currencies, conversion rates, and RSM treatment require counsel and finance review.
8. RSM and Marketplace Payments
- Marketplace transactions may use RSM, fiat payments, or mixed payment methods where enabled.
- RSM use is governed by the RSM Credits Policy.
- If RSM is used for seller payouts or conversion, additional legal review is required.
9. Fulfillment and Customer Service
- Sellers must fulfill orders as described.
- Sellers must respond to customer issues in a timely and professional manner.
- Remsee may step in to resolve disputes, issue refunds, reverse RSM, suspend listings, or withhold payouts where appropriate.
10. Content License
- Sellers grant Remsee a worldwide, non-exclusive, royalty-free license to host, display, promote, translate, format, distribute, and use seller listings and materials to operate and market the Marketplace.
- Sellers represent they have all necessary rights.
11. Moderation and Enforcement
- Remsee may review, rank, label, reject, delist, suspend, or remove listings.
- Enforcement may occur for policy violations, legal risk, poor quality, high dispute rates, fraud, unsafe services, intellectual property claims, or customer harm.
12. Taxes
- Sellers are responsible for taxes unless Remsee expressly agrees otherwise or marketplace facilitator laws apply.
- Remsee may collect tax information, issue reports, withhold taxes, or collect and remit taxes where required.
13. Data Protection
- Sellers must protect buyer Personal Data and use it only for approved marketplace purposes.
- Sellers may need a privacy policy, data processing terms, and security controls.
- Sellers must promptly notify Remsee of data incidents affecting marketplace users.
14. Relationship of Parties
- Sellers are independent contractors or independent businesses.
- These terms do not create employment, partnership, agency, franchise, or joint venture unless expressly stated.
15. Cross-References
Sellers must comply with the Terms of Service, Community Guidelines, Acceptable Use Policy, Copyright and DMCA Policy, Privacy Policy, RSM Credits Policy, Refund Policy, and Travel Disclaimer.

17. Governing Law
These Marketplace Seller Terms are subject to the laws of the Kingdom of Thailand, with the courts of Bangkok having jurisdiction, unless mandatory consumer, marketplace, tax, travel, or payment law provides otherwise.
